Hill
Country Horse club, Inc
January 7, 2005
Hello HCHC Members,
The Board of
Directors met on January 4th to discuss the construction of the new
riding facility. We are hoping to have something decided by the end of our next
meeting.
Steve Wetz has
called a special meeting of the members to be held on Febuary 1st at
6:30 PM at the law Enforcement Center in Fredericksburg Texas.
The purpose of
this meeting is to discuss the need for changing the By-Laws Article IV Section
1, which states that:
No
Director or relative of a Director within the first degree of consanguinity or
affinity shall be employed by the Corporation in any capacity.
Since
we have been working on the construction of the new facility we have found that
there may be Club Members or Directors who could bid some of this work at a
cheaper rate and possibly save the club some money. At this time we are unable
to do this because of the stated By-Law. The By- Law was originally placed at
the inception of the club due to a loan from the Farmers Home Administration.
Steve has researched the State requirements and has found that this is not a
requirement at this time.
In
accordance with:
Article
VII Amendment:
The
By-Laws may be altered, amended or repaired by a vote of the majority of members
present at any regular meeting of the Corporation, or at any special meeting of
the Corporation called for that purpose, except that the members shall not have
the power to change the purpose of the Corporation so as to decrease its rights
and powers under the laws of the State, or to waive any requirement of bond or
other provision for the safety and security of the property and funds of the
Corporation or its members, or to deprive any members of rights and privileges
then existing, or so to amend the By-Laws, as to effect a fundamental change in
the policies of the Corporation. Notice of any amendment to be made at a special
meeting of the members must be given at least ten (10) days before such meeting
and must set forth the amendments to be considered.
Article
III Section 4:
In
case of a special meeting, written or printed notice stating the place, day,
hour, and purpose of the meeting shall be delivered not less than ten (10) days
or not more than fifty (50) days before the date of the meeting. Either
personally or by mail to as many members as can be located.
Article
II Section 1:
Each
Adult Member over the age of 21 or single membership over the age of 18 in the
Corporation shall be given a certificate which shall entitle him/her to one vote
on each matter submitted to a vote of the members. A member shall vote either in
person or by proxy executed in writing by the member or by his duly authorized
attorney-n-fact.
Please
plan to attend this meeting or return a letter to the Secretary stating your
desire to either keep the following By-Laws as is or remove it.
